Terms of Service

Please read these Terms of Service (“Terms”) carefully. These Terms govern your access to and use of the services made available by Arkleaf LLC (“Arkleaf,” “we,” “us,” or “our”), including arkleaf.com, Scout at scout.arkleaf.app, and related websites, applications, APIs, waitlist, checkout, billing, and support experiences that link to or reference these Terms (collectively, the “Services”).
1. Acceptance of Terms
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.
If you use the Services on behalf of a company, employer, client, or other organization, you represent that you are authorized to bind that organization to these Terms.
2. Description of Services
Arkleaf provides a public website and Scout, a procurement intelligence product focused on Florida transportation opportunities and related public-source data.
The Services may include, without limitation:
- marketing and informational pages;
- Scout accounts, shared workspaces, and user-management features;
- favorites, notes, alerts, travel-analysis, reporting, and similar product features;
- waitlist, trial, checkout, subscription, and billing flows; and
- related documentation, emails, APIs, and support interactions.
We may add, change, suspend, or remove features from time to time.
3. Accounts
- You must be at least 18 years old to use the Services.
- You must provide accurate and complete account and registration information.
- You are responsible for maintaining the confidentiality of your account credentials and for activities that occur under your account.
- If your access to Scout is managed by an organization, that organization may control your access, role, workspace membership, seat assignments, subscription status, and administration of workspace data associated with that organization.
- We may suspend or restrict accounts that are inaccurate, unauthorized, insecure, inactive, or in violation of these Terms.
4. Subscriptions and Billing
- Some parts of Scout may require a paid subscription or seat-based purchase.
- Pricing, billing cadence, included features, seat limits, trial offers, and promotional terms are described on the applicable pricing, checkout, order, or account pages and are incorporated into these Terms.
- If you start a trial, you authorize the subscription plan and billing cadence you selected at checkout to begin automatically when the trial ends unless you cancel before the end of the trial.
- If you purchase a subscription, you authorize Arkleaf and our payment processor to charge the applicable fees, taxes, and recurring amounts shown at checkout or otherwise agreed in writing.
- Unless otherwise stated at the time of purchase, subscriptions renew automatically for successive monthly or annual terms, as applicable, until canceled before renewal.
- You may cancel future renewal at any time, but fees already paid are handled according to the terms presented at purchase or as otherwise required by law.
- We may change pricing, packaging, or plan features prospectively. Changes will not apply retroactively to a prepaid current term unless required by law or agreed otherwise.
5. Acceptable Use
You agree not to:
- use the Services for any unlawful, fraudulent, or unauthorized purpose;
- attempt to gain unauthorized access to the Services or related systems;
- interfere with, disrupt, or degrade the Services, including by bypassing rate limits, quotas, or other technical restrictions;
- scrape, harvest, bulk export, or systematically download the Services or Scout data except through features or APIs expressly authorized by Arkleaf;
- reverse engineer, decompile, or disassemble the Services except to the extent prohibited by law;
- use the Services, Scout data, or Scout outputs to build, benchmark, train, or improve a competing product, service, dataset, or model, except as expressly authorized by Arkleaf;
- resell, sublicense, or redistribute the Services except as expressly authorized by Arkleaf; or
- use the Services to violate the rights of Arkleaf, other users, data sources, or third parties.
6. Intellectual Property and Data
- The Services, including our software, design, branding, compiled datasets, documentation, and related functionality, are owned by Arkleaf or its licensors and protected by intellectual property and other laws.
- Subject to these Terms, Arkleaf grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.
- As between you and Arkleaf, you retain rights in content and data you submit to the Services.
- You grant Arkleaf a limited, non-exclusive license to host, store, process, transmit, and display your submitted data as reasonably necessary to provide, secure, support, and improve the Services.
- Scout may include public-source or third-party data. Arkleaf does not claim ownership of that underlying third-party or public-source material beyond our rights in the Services and our own compilations, formatting, and presentation.
- Except as expressly permitted by Arkleaf in writing, you may not republish, redistribute, sell, sublicense, or create a commercial substitute for substantial portions of Scout’s compiled data, outputs, or presentation layers.
7. Data and Privacy
Your use of the Services is also governed by our Privacy Policy. By using the Services, you acknowledge that we may collect, use, and disclose information as described in that policy.
8. Service Availability
We may modify, suspend, or discontinue all or any part of the Services at any time, with or without notice, including for maintenance, security, legal compliance, product changes, or capacity reasons.
We do not guarantee that the Services will be uninterrupted, error-free, or available at all times.
9. Limitation of Liability
To the maximum extent permitted by law, Arkleaf will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, use, or data, arising out of or related to the Services or these Terms.
To the maximum extent permitted by law, Arkleaf’s aggregate liability for claims arising out of or related to the Services or these Terms will not exceed the greater of:
- the amount you paid to Arkleaf for the Services during the 12 months before the event giving rise to the claim; or
- $100.
10. Disclaimer of Warranties
The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise.
Without limiting the foregoing, Arkleaf does not warrant that:
- the Services will be uninterrupted, secure, or error-free;
- Scout content, public-source data, or outputs will always be accurate, complete, current, or suitable for your purposes; or
- the Services will meet all of your requirements or expectations.
Scout should be used as one input in your decision-making, not as your sole source of truth.
Scout does not provide legal, compliance, accounting, or bid-submission advice. You remain responsible for reviewing source materials, validating outputs, and making your own business, procurement, and submission decisions.
11. Indemnification
You agree to indemnify, defend, and hold harmless Arkleaf and its officers, directors, employees, contractors, affiliates, and agents from and against claims, liabilities, damages, losses, and expenses arising out of or related to:
- your use of the Services;
- your submitted content or data;
- your violation of these Terms; or
- your violation of applicable law or the rights of a third party.
12. Termination
You may stop using the Services at any time.
We may suspend, restrict, or terminate your access to the Services at any time if we believe you violated these Terms, created risk for Arkleaf or others, failed to pay amounts due, or if we are required to do so for legal, security, or operational reasons.
Upon termination, your right to access and use the affected Services ends immediately, except for any rights that by their nature should survive termination.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles.
To the extent permitted by law, the state and federal courts located in Florida will have exclusive jurisdiction over disputes arising out of or related to these Terms or the Services, and each party waives any objection based on personal jurisdiction, venue, or inconvenient forum.
14. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and may provide additional notice through the Services or by other reasonable means. Your continued use of the Services after the updated Terms become effective constitutes acceptance of the updated Terms.
